1. Acceptance of Terms

By accessing and using Nooging ("the Platform"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, you must not use the Platform.

This Platform is intended exclusively for users who are at least 18 years of age. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Account and Eligibility

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

You must be at least 18 years of age to create an account. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion without prior notice.

3. Platform Description

Nooging is an AI-powered platform that enables users to create, customize, and interact with AI characters. The Platform provides the following services:

• AI character creation tools with customizable personalities, appearances, and behaviors
• Text-based conversational interactions with AI characters
• AI-generated image and video content based on character profiles and user prompts
• A token-based economy for accessing premium features and content generation
• Community features for sharing and discovering public AI characters
• Creator tools for monetizing public character interactions

All AI-generated content is produced using machine learning models and should be understood as synthetic, fictional content created for entertainment purposes.

4. Token Economy

The Platform operates on a token-based economy where tokens are used to access certain features and generate content:

• Tokens are virtual currency with no real-world monetary value
• Tokens can be purchased through the Platform's payment system
• Tokens are non-refundable once purchased, except as required by law
• Tokens are used to generate AI content including text, images, and videos
• Token costs vary based on content type and generation complexity
• Unused tokens do not expire but may be subject to account inactivity policies

We reserve the right to modify token pricing and consumption rates with reasonable notice to users. Tokens have no cash value and cannot be transferred, sold, or exchanged outside the Platform.

5. User-Generated Content

Users create and own the AI characters they design on the Platform. By creating content on Nooging, you grant us the following rights:

• You retain ownership of AI characters and associated creative elements you create
• You grant Nooging a worldwide, non-exclusive license to display, store, and process your content for Platform operation
• Public characters grant additional rights for community access and interaction
• Private characters remain accessible only to you and users you explicitly authorize

You represent and warrant that you have the right to create and share all content you upload to the Platform, and that your content does not infringe on the intellectual property rights of any third party.

6. Content Guidelines

All content generated and shared on the Platform must comply with our content policies:

• No content depicting or suggesting minors in any context
• No illegal content including but not limited to illegal drugs, violence, or criminal activity
• No real persons depicted without their explicit consent
• No non-consensual or revenge content of any kind
• Public characters and publicly visible content must be safe-for-work (SFW)
• Private interactions may contain mature content within legal bounds
• No content that violates intellectual property rights of others
• No content promoting hate speech, discrimination, or harassment

We employ automated and manual content moderation. Violations may result in content removal, account suspension, or permanent ban without refund of tokens or fees paid.

7. Revenue Sharing

Creators who make their AI characters publicly available may earn revenue from user interactions:

• Creators earn a percentage of tokens spent on interactions with their public characters
• Revenue share percentages are displayed at time of character publication
• Minimum payout thresholds apply before earnings can be withdrawn
• Creators must complete identity verification before receiving payments
• The Platform retains a commission on all transactions to cover infrastructure and operational costs
• Payment processing fees may be deducted from creator earnings

We reserve the right to withhold payments for content that violates these Terms of Service or applicable laws. Tax reporting requirements apply to creator earnings as required by law.

8. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Creating or sharing content depicting minors in any context
• Attempting to bypass content filters or safety mechanisms
• Using the Platform for any illegal purpose or in violation of any laws
• Harassing, threatening, or impersonating other users
• Scraping, data mining, or automated access without authorization
• Attempting to reverse engineer AI models or Platform technology
• Sharing account credentials or selling access to your account
• Manipulating token systems or exploiting technical vulnerabilities
• Creating multiple accounts to abuse promotional offers or circumvent bans

Violations will result in immediate account termination and may be reported to law enforcement authorities where appropriate.

9. Intellectual Property

The Platform, including its original content, features, and functionality, is owned by Nooging and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

User-created AI characters and associated creative elements remain the intellectual property of the creating user, subject to the license granted to Nooging for Platform operation.

AI-generated content (text, images, videos) produced through user interactions is owned by the user who prompted the generation, subject to Platform usage rights. Users may use AI-generated content for personal or commercial purposes, provided such use complies with these Terms and applicable laws.

10. Limitation of Liability

To the maximum extent permitted by law, Nooging shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of or inability to access or use the Platform
• Any conduct or content of any third party on the Platform
• AI-generated content that is inaccurate, offensive, or inappropriate
• Unauthorized access, use, or alteration of your content or account

AI-generated content is provided for entertainment purposes only. We make no representations about the accuracy, appropriateness, or quality of AI-generated content. Users are responsible for reviewing and verifying all AI-generated content before use.

11. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms of Service.

Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may do so by contacting us or using the account deletion feature in your settings. Unused tokens are forfeited upon account termination and are non-refundable.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Changes to Terms

We reserve the right to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Platform after revisions become effective, you agree to be bound by the revised terms.
